SEC. 4. And be it enacted, That at any stockholders'
meeting every stockholder shall be entitled to cast
one vote for each share of stock he or she may hold,
and at all such meetings a majority of the stock, in
value, shall be required to constitute a quorum.

SEC. 5. And be it enacted, That the said directors,
or a majority of them, or their successors, shall have
the management of the business and affairs of said
corporation, shall have power to make all necessary
by-laws and regulations in relation to the election of
directors, the appointment of officers, the issuing of
certificates of stock, and declaring dividends from
the profits of the earnings of said bridge; they shall
also have the power to purchase or lease and to hold
all lands necessary for the landings of and approaches
to said bridge, and generally to do all other acts
necessary to carry into effect and continue the ob-

jects of this act; provided however, that none of the
said by-laws, regulations, or other acts of said di-
rectors be inconsistent with the provisions of this
act or of the constitution or laws of this State or of
the United States.

Proviso.

SEC. 6. And be it enacted, That the said corporation
shall exercise reasonable care and diligence to main-
tain the said bridge and its approaches in a safe and
substantial condition, and the said draw in good
working order, which shall be attended by a com-
petent person always in readiness to open the same,
when necessary for the passage of all boats and ves-
sels, without delay and free of charge.

SEC. 7. And be it enacted, That it shall be lawful
for the said corporation to demand and receive tolls
not exceeding the following rates.: that is to say, five
cents for every person, horse, mule, ox or other cat-
tle; two cents for every sheep or hog; and three
cents for every wheel of every cart, wagon or car-
riage that may pass over said bridge; it shall also
be lawful for said coporation to allow the Wicomico
and Pocomoke Railroad Company to extend the
track of their road across said bridge and its ap-
proaches, and to run their trains over the same upon
such terms and conditions as the respective corpora-
tions may agree.
