2204                                Municipal Charters

Hetzer, Inc., at its own expense for the area North of Oak Tree Lane as
shown on said plat. There shall be no cost to the Town of Williamsport
for any installations in said area.

2.   HOOK-UP FEE: There shall be a hook-up fee or installation
fee charged by the Town of Williamsport for water and sewer in accordance
with its normal rate to operations of this kind. Said hook-up fees for
sewerage shall not exceed eight (8) in number for the first phase as
commonly designated.

3.   WATER METERS: Water meters shall be installed as indicated
in the plans and specifications in accordance with good engineering prac-
tices subject to the approval of the Town of Williamsport and shall be
installed in accordance with the Town's usual practice in reference to
water meters.

4.   CURBS: All curbs as shown on drawing S-l and in the plans
and specifications referred to are to be installed at the expense of C.
William Hetzer, Inc., and/or C. William Hetzer and any curbs and gutters
installed in the future shall be at the expense of C. William Hetzer, Inc.,
and/or C. William Hetzer.

5.   ENTRANCE ROADS: All entrance roads as shown on drawing
S-l of the plans and specifications shall be constructed by C. William
Hetzer, Inc., at the expense of C. William Hetzer, Inc., and/or C. William
Hetzer in accordance with the plans and specifications referred to.
Entrance Roads referred to are Shawnee Terrace, Oak Tree Lane and
Milestone Terrace.

All street Lighting and lighting facilities in the annexed area shall
be installed by C. William Hetzer, Inc., or C. William Hetzer at their own
expense. Said street lighting shall be maintained and operated by C.
William Hetzer, Inc., and/or C. William Hetzer.

In the event that the Mayor and Council of the Town of Williamsport
are desirous of having said street lighting fixtures granted and dedicated
to the Town at any time in the future, the present owners of the property,
their heirs, successors and assigns, agree to grant and convey same to
said Town subject to the Town's maintaining and repairing and observing
all expenses in reference to same after said date of acquisition.

The Town of Williamsport will and does hereby agree that it will
pay unto C. William Hetzer, Inc., its successors, designees, grantees or
assigns, a sum not to exceed Forty Eight Thousand Five Hundred
($48,500.00) Dollars plus interest thereon at the rate of 8% per annum on
the unpaid balance; and that said shall be paid by issuing credit to C.
William Hetzer, Inc., or C. William Hetzer for the amount or amounts of
customary charges for taxes, special assessments and for water and sewer
services at a rate not less than the citizens and property owners of the
Town of Williamsport would pay for similar services from time to time
during the duration of this agreement and that said sum shall be paid on
or before the expiration of 10 years from the dedication and acceptance
of the streets and facilities hereinafter referred to in exchange for the
following:

1. C. William Hetzer, Inc., in the development of the project referred
to above shall construct a water line running from Route 11 onto Shawnee
Terrace, thence in a northerly direction to Oak Tree Lane; thence westerly
on Oak Tree Lane to Milestone Terrace; thence returning in a southerly
direction in Milestone Terrace to Route 11 to the now existing six (6) inch
